INTRODUCTION

These rules (“Official Rules”) govern the IndyCar Grand Prix of Sonoma giveaway (“Giveaway”) being conducted by Arrow Electronics, Inc. (“Arrow”) on the ARROW.COM website (“Website”). By participating in the Giveaway, you agree to abide by and be bound by these Official Rules, as well as (i) the Terms of Use of the Website (https://www.arrow.com/en/legal/terms-of-use), and (ii) the Privacy Policy (https://www.arrow.com/en/legal/privacy-policy) ((i)-(ii), collectively, “Arrow Terms”), which are incorporated herein by reference. To the extent there is any inconsistency between these Official Rules and any Arrow Terms, these Official Rules shall take precedence over the Arrow Terms.

GIVEAWAY SPONSOR/ADMINISTRATOR

Arrow is the sponsor and administrator of the Giveaway and will be solely responsible for resolving any disputes that arise regarding these Official Rules. Arrow’s decisions with respect to the Giveaway are final. Arrow’s address is 9201 East Dry Creek Road, Centennial, CO 80112.

GIVEAWAY DATES

The Giveaway will begin on August 13, 2018, at 3 p.m. Mountain Time (“MT”) and will end on August 30, 2018 at 11:59 p.m. MT (the “Giveaway Period”). Arrow reserves the right to terminate this Giveaway at any time before the Giveaway Period ends.

ELIGIBILITY

The Giveaway is open to all who are 18 years of age (or the age of majority in their country, if different) or older as of the start of the Giveaway Period and domiciled in the United States who enter the Giveaway online during the Giveaway Period. The following individuals are ineligible for this Giveaway: Employees, directors, and officers of Arrow, its subsidiaries, and affiliates, and any advertising or promotional agencies involved in the administration of this Giveaway (collectively, “Promotion Entities”); and the immediate family members and those living in the same household of each such person (whether related or not). “Immediate family” members include spouses, children, step-children, parents, step-parents, siblings and step-siblings. No groups, clubs, organizations, or any freight forwarders may participate in this Giveaway. Proof of age, identity and eligibility must be furnished upon request. All entry information must be complete and accurate. Arrow will not award the Prize Package to anyone not meeting eligibility requirements at the time of entry.

HOW TO ENTER

Your participation in the Promotion is voluntary and does not require you to purchase anything from the Sponsor. During the Giveaway Period, enter the Giveaway as follows:

 

1. Method One: Enter By Creating an Arrow Account Online and Uploading a Bill of Materials: To participate in the Giveaway: 1) create an account online at ARROW.COM (click link or visit https://www.arrow.com/register) (you will be required to provide your full name, email address, country, and opt in to receive communication); and 2) upload a bill of materials (BOM) that consists of at least twenty (20) items (click link or visit https://www.arrow.com/en/bom-tool). Only one entry per person is permitted regardless of entry method.

2. Method Two: To Enter without Uploading a Bill of Materials: During the Promotion Period, go to: https://www.arrow.com/arrow-indycar-giveaway and follow the on-screen instructions to submit a “Free Alternate Method of Entry” form by entering your information and the name of the Promotion identified in these Official Rules which is: IndySonomaEntry. Only one entry per person is permitted regardless of entry method.

DRAWING AND ODDS OF WINNING

Arrow will select one (1) individual over the age 18 to receive the IndyCar Grand Prix of Sonoma Race Experience (“Prize Package”). The winner (“Recipient”) will be selected in a drawing from all eligible entries received prior to the drawing time listed in the chart below, on or about the Drawing Date and Time. Odds of winning depend on the number of eligible entries received prior to the Drawing Date and Time. The drawing will be conducted by a Sponsor representative, whose decisions shall be final and binding.

 

 

 

PRIZE PACKAGE

The Verizon IndyCar Series is the premier motorsport series in North America with incredible fan access and interaction. Drivers from all over the world compete in an open-wheel chassis on permanent road courses, superspeedways and short ovals across the United States and Canada.

 

The Prize Package for two (2) individuals (Recipient and one “Guest”) includes (price estimate):

• Roundtrip coach class airfare ($800)

• Two (2) nights luxury hotel accommodation at the Fairmont Sonoma Mission Inn on Saturday (Sept. 15, 2018) and Sunday (September 16, 2018) ($1,200)

• Roundtrip private transfers to and from the Fairmont Sonoma Mission Inn and airport ($700)

• SAM Car Experience (limited time subject to availability) the day before the race for Recipient and Guest ($600), which includes:

  • Concierge to Greet Recipient and Guest in Lobby

  • Black Car/SUV transportation to SAM Car location

  • One-hour time slot that is split amongst six people

  • Receive a commemorative pin and video of your drive

  • Suite pass to Arrow’s Club Five Center and suites with great views of the rack, air-conditioning, full catering, and networking opportunities

• Saturday night dinner with special guest James Hinchcliffe, Arrow’s driver of car #5 and former Dancing with the Stars contestant ($500)

• Roundtrip private transfers to and from the IndyCar Sonoma race track ($400)

• Tickets to the Sonoma IndyCar Grand Prix ($1,500), which include:

  • Arrow Pre-race activities

  • Garage tour pass to Verizon IndyCar Series Race

    • Garage Tour times will be assigned and are subject to availability

• Memento of Race for Recipient and Guest that must be claimed by Recipient and Guest at Arrow Sonoma race site. Items limited subject to availability:

  • For Men: race shirt, ¼ zip pull-over shirt, Maui Jim Sunglasses ($250)

  • For Women: race shirt, leather sling purse, Maui Jim Sunglasses ($250)

• Sunday morning breakfast ($150)

Approximate Total Prize Value for Prize Package: $6,350 (U.S.)

TERMS AND CONDITIONS FOR PRIZE PACKAGES

Each Prize Package is subject to the following terms and conditions:

 

(i)            The Prize Package is for two (2) adults, aged 18 or older at the time of travel (at least one of whom must be 21 or over at the time of travel), both of whom must travel at the same time with the same itinerary. Where any traveler is under 21, permission must be granted by such traveler’s parent or guardian.

 

(ii)           Prize Package redemption and travel must occur September 15, 2018 to September 17, 2018, and travel must be booked and completed within that time frame.

 

(iii)          The Recipient of the Prize Package must provide Arrow with at least six (6) days’ advance notice of travel.

 

(iv)          Once Arrow receives signed booking forms from the Recipient of the Prize Package, no changes will be permitted.

 

(vii)         Age and weight restrictions may apply for the SAM Car Experience.

 

(ix)          Recipient and Guest must have a valid form of identification at time of travel. Arrow shall not be held responsible for the Recipient and Guest being unable to travel and/or realize the benefits of the Prize Package due identification restrictions.

 

(x)           The Prize Package is non-transferable and non-refundable, and no substitutions or cash alternatives are permitted.

 

(xi)          The Prize Package excludes meals and drinks, tips, gratuities, excursions, attractions, treatments, car hire, transportation to and from the U.S. airport or other domestic ground transfers, airport parking, visas and personal expenses, except to the extent expressly included in the Prize Package descriptions above.

 

(xii)         The Prize Package does not include comprehensive travel insurance that covers Recipient and Guest for medical issues or loss, theft, and/or damage to property. Any such policy must be procured at the sole cost and expense of the Recipient and Guest.

 

(xiii)        A valid credit card will be required for security deposit purposes when checking into hotel accommodations.

 

(xv)         Once booked, the Prize Package cannot be altered or amended.

 

Arrow’s services shall include, without limitation, the following:

 

(i)            Arrow will (a) contact the Prize Package Recipient by e-mail with a congratulatory letter introducing Leda Abrams as the prize coordinator point of contact; (b) send the Prize Package Recipient a link for online registration (in order to collect relevant details required by applicable law for prize fulfillment and booking travel and/or activities included in the Prize Package); and (c) send the Prize Package Recipient the terms and conditions for redemption of the Prize Package and the travel associated therewith.

 

(ii)           Once Arrow has received the completed booking forms, Arrow will book the travel for the Prize Package Recipient and provide him or her with a trip summary that includes all information required for the trip, including (a) trip itinerary; (b) flight e-tickets; (c) destination information; (d) specifics of what items are included or excluded from the Prize Package; and (e) a list of what kinds of things the Prize Package Recipient should bring with him or her on the trip; and (f) all relevant contact information associated with the Prize Package.

 

RECIPIENT NOTIFICATION

The Recipient will be notified by email and/or phone number if provided. The Recipient must claim the prize by September 1, 2018. If any Recipient is determined to be ineligible, the prize will be forfeited, and an alternate Recipient selected randomly from the remaining non-winning entries.

CONDITIONS AND LIMITATION OF LIABILITY

Entrants are responsible for complying with all applicable federal, state, and local laws and regulations and with these Official Rules, and by entering agree to be bound to these Official Rules. 

Payments of all federal, state and local taxes are solely the responsibility of the Recipient.  Recipient will be required to complete and submit an IRS Form W-9 with the Recipient’s full Social Security Number or the equivalent for receipt of any prize valued at $600 or more or for any prizes awarded by Arrow in a calendar year with an aggregate value of $600 or more.  Failure to submit a completed Form W-9 or equivalent upon request will result in forfeiture of the prize.  Such winnings of $600 or more will be reported to the IRS.

By accepting the Prize Package, Recipient grants to Arrow the right to publicize their name, photograph, video, image, likeness, voice, statements, hometown (city and state), and biographical information for advertising, trade, and promotion purposes in any media now or hereafter known worldwide in perpetuity without compensation and without opportunity for review, except where prohibited by law.  Arrow, in its sole discretion, may require the Recipient to sign a publicity release confirming such consent prior to acceptance of the prize, except where prohibited by law.

RECIPIENT AND ENTRANTS AGREE, EXCEPT WHERE PROHIBITED BY LAW, TO RELEASE AND DISCHARGE, HOLD HARMLESS AND INDEMNIFY THE PROMOTION ENTITIES, THEIR EMPLOYEES, AGENTS AND REPRESENTATIVES, OFFICERS AND DIRECTORS AND THEIR IMMEDIATE FAMILIES, SUCCESSORS AND ASSIGNS, AND ALL OTHERS ASSOCIATED WITH THE DEVELOPMENT AND EXECUTION OF THIS GIVEAWAY, FROM ANY AND ALL TAX LIABILITY THAT MAY BE IMPOSED OR ASSOCIATED WITH RECEIPT OR USE OF THE PRIZES, AND FROM AND AGAINST ANY AND ALL CLAIMS, ACTIONS, PROCEEDINGS, AND LIABILITY FOR ANY DAMAGES, EXPENSES, FEES, INJURY OR LOSSES (INCLUDING PERSONAL INJURY OR DEATH) SUSTAINED IN CONNECTION WITH THE RECEIPT, OWNERSHIP, OR USE OF THE PRIZE OR WHILE TRAVELING TO, PREPARING FOR, OR PARTICIPATING IN ANY GIVEAWAY-RELATED OR PRIZE-RELATED ACTIVITY.

Prior to awarding any prize, Arrow, in its sole discretion, may require the Giveaway Recipient to sign a liability release, agreeing to release and hold harmless the Promotion Entities, their respective officers, shareholders, directors, employees, agents and representatives and all of their successors and assigns from and against any and all claims or liability arising directly or indirectly from the prize and participation in the Giveaway.

If for any reason this Giveaway cannot be executed as planned, including, but not limited to, as a result of tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of Arrow that corrupt or affect the security, administration, fairness, integrity or proper conduct of the Giveaway, Arrow reserves the right to cancel, terminate, suspend, or modify the Giveaway. If the Giveaway is terminated before the original end date, Arrow reserves the right to select the Recipient by random drawing from among all eligible non-suspect entries received as of the termination time/date or otherwise modify the procedure for selecting the Recipient.

Arrow, in its sole discretion, reserves the right to disqualify any person not abiding by the official rules, or for tampering with the entry process.  Failure to comply with these Official Rules may result in an entrant’s disqualification and/or forfeiture of any prize or prizes.  If Arrow makes a good faith determination that an entrant has cheated or committed fraudulent activity in connection with a Giveaway, Arrow reserves the right to disqualify that entrant from entering and/or winning future promotions and to prosecute and seek damages to the fullest extent permitted by law.

 

Arrow reserves the right to make changes to these Official Rules, including, without limitation, the substitution of a prize of equivalent value, which will become effective upon announcement.  If due to circumstances beyond the control of Arrow, any competition or prize-related event or travel is delayed, rescheduled, postponed or cancelled, Arrow reserves the right, but not the obligation, to cancel, terminate, suspend or modify the Promotion and shall not be required to award a substitute prize.

 

DISCLAIMER

Arrow is not responsible for: (1) typographical or other errors in the printing, the offering, or the administration of the Giveaway or in the announcement of a prize; (2) lost, misdirected, illegible, incomplete, or delayed entry forms; (3) cancellations, postponements, or delays; (4) Acts of God, war, terrorism, government regulation, disaster, fire, strikes, civil disorder, or other similar causes beyond the control of the Arrow making it inadvisable, illegal, impossible, or impractical to continue the Giveaway or to perform under these Official Rules. In the event of any of the foregoing or in the event of an ownership or format change, Arrow reserves the right to cancel, terminate, suspend, or modify, or continue the Giveaway, in its sole discretion.  Arrow makes no warranty, guarantee, or representation of any kind concerning any prize, and ARROW SPECIFICALLY DISCLAIMS ANY IMPLIED WARRANTY OF MERCHANTABILITY, WARRANTY OF FITNESS, AND ANY OTHER IMPLIED WARRANTY, except for any express manufacturer’s warranty as may be included with the prize or as may be separately provided to participants by law. 

GOVERNING LAW

These Official Rules shall be governed by and construed in accordance with the laws of the State of Colorado without regard to its conflict of laws rules. By entering the Giveaway, you consent to the jurisdiction and venue of the federal, state, and local courts located in Arapahoe County, Colorado, for the resolution of all disputes, and you agree that any and all disputes shall be resolved exclusively in those courts. Any failure to enforce any term of these Official Rules shall not constitute a waiver of that or any other provision. If any provision of these Official Rules is held to be invalid or unenforceable, such provision shall be stricken, and the remaining provisions shall be enforced.

PRIVACY

By entering the Giveaway, you agree to allow Arrow to use any information collected in connection with the Giveaway in accordance with its Privacy Policy, available at https://www.arrow.com/en/legal/privacy-policy, which is incorporated into these Official Rules by reference. You can choose not to receive emails from Arrow at any time by simply sending an email, including your name and email address, to never@arrow.com and Arrow will remove you from all mailings.
